3. Service Description

Shen Yun Collections Canada Inc provides professional services in the fields of computer integrated systems design, custom software development, IT consulting, system integration, data analytics, and cloud solutions. Our services are delivered on a project basis under separate service agreements that reference these Terms of Service.

The specific scope, deliverables, timeline, and fees for each engagement will be documented in a separate service agreement or statement of work. In the event of any conflict between these Terms of Service and a specific service agreement, the specific service agreement shall prevail.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to affected clients.

4. Intellectual Property Rights

Company Intellectual Property

All content, materials, designs, code, methodologies, tools, frameworks, and intellectual property developed by Shen Yun Collections Canada Inc, including but not limited to text, graphics, logos, and software, are the exclusive property of the Company unless otherwise agreed in writing. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client Intellectual Property

All pre-existing intellectual property owned by the Client remains the property of the Client. Upon full payment for services, intellectual property specifically developed for the Client under a service agreement will be transferred to the Client, subject to the terms of that agreement.

License to Use Website

We grant you a limited, non-exclusive, non-transferable license to access and use our website for lawful purposes in accordance with these Terms of Service. This license does not include any right to reproduce, modify, or commercially exploit the website content without our express permission.

5. User Obligations

As a user of our website and services, you agree to:

8. Disclaimer of Warranties

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

• Fees, payment schedule, and invoicing terms
• Intellectual property ownership and licensing

In the event of any conflict between these Terms of Service and a service agreement, the service agreement shall take precedence.

11. Payment Terms

Payment terms for professional services will be specified in the applicable service agreement. Unless otherwise agreed:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law
• The Client is responsible for all applicable taxes, duties, and levies
• We reserve the right to suspend services for overdue accounts with 7 days written notice
• All fees are quoted in Canadian Dollars unless otherwise specified

12. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of any business relationship. Confidential information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law or as necessary for the performance of services.

Confidentiality obligations shall survive the termination of any service agreement for a period of three (3) years.

13. Termination

Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. In the absence of such provisions:

• Either party may terminate with 30 days written notice
• Either party may terminate immediately for material breach that remains uncured for 15 days after written notice
• Upon termination, the Client shall pay for all services rendered up to the effective date of termination

We reserve the right to terminate or suspend your access to our website at any time, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, third parties, or our interests.

14. Governing Law

These Terms of Service and any service agreements shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to any transaction under these terms.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms of Service or our services shall be resolved through the following process:

• Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiations
• Mediation: If negotiation fails, the parties shall submit the dispute to mediation in Markham, Ontario
• Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the Arbitration Act of Ontario

The prevailing party in any dispute resolution proceeding shall be entitled to recover its reasonable legal fees and costs.

16. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time without prior notice. Material changes will be posted on this page with an updated effective date. We encourage you to review these terms periodically. Your continued use of our website or services after any modifications constitutes acceptance of the updated terms.
